All J.D. candidates are required to take Business Associations (4 credit hours).
Required Courses (11-12 hours):
Accounting for Lawyers (2 hours) or Analytical Methods for Lawyers (3 hours) Accounting is the language of business, the ability to read financial statements with understanding is fundamental skill of not only business lawyers, but also lawyers who deal with family law, trusts and estates, and proving damages in litigation. This requirement is subject to waiver for students with an educational background that satisfies the program director.
Corporate Finance (3 hours) This course presents students with an economic theory of the firm, complete with all of the conflicting interests among participants, and offers the standard contractual solutions to these conflicts. This learning has implications outside the firm in all kinds of financial and business transactions where risks are allocated by contract.
Federal Income Tax: Corporations (3 hours) Transactional lawyers must have a basic understanding of how the complexities of the tax laws may impact transactions. Federal Income Tax: Individuals is a prerequisite.
Securities Regulation (3 hours) Federal and state securities laws cut across all types of financings from start-up corporations and partnerships, including real estate ventures, to the largest public corporations. They also regulate disclosures to shareholders and investors in publicly traded corporations.
Elective Courses (six hours):
Students must take at least six hours of additional courses. Currently approved courses are listed below, divided into courses, seminars and simulation experiences or workshops. Students may petition to allow courses taken elsewhere in the University, such as the Goizueta Business School, to be substituted as electives.
